Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Contrax Analytics platform, products, data, software, APIs, and related services (collectively, the "Services") provided by Contrax Analytics LLC ("Contrax," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Authority

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the entity you represent. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2. Services Overview

Contrax Analytics provides aggregated, normalized, and analyzed permitting and trade-related data sourced from public records and third-party providers. The Services are intended to support business intelligence, strategic planning, and market analysis. The Services do not provide legal, regulatory, financial, or compliance advice.

3. Accounts and Access

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate and complete information.
  • You are responsible for all activity conducted through your account.
  • We may suspend or terminate access if we reasonably believe your account is compromised or used in violation of these Terms.

4. Subscription, Fees, and Payment

  • Access to the Services may require a paid subscription, priced per jurisdiction or as otherwise agreed.
  • Fees are billed in advance and are non-refundable unless expressly stated.
  • We reserve the right to modify pricing with prior notice.
  • Failure to pay may result in suspension or termination of access.

5. License and Acceptable Use

5.1 License

Subject to these Terms, Contrax grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

5.2 Restrictions

You may not:
  • Resell, sublicense, or redistribute the Services or data outputs
  • Scrape, reverse engineer, or attempt to extract source data, models, or code
  • Use the Services to create competing products
  • Remove proprietary notices
  • Use the Services for unlawful, deceptive, or abusive purposes

6. Data Sources and Accuracy

  • Contrax aggregates data from public records and third-party sources.
  • We do not guarantee the accuracy, completeness, timeliness, or availability of data.
  • Data availability and structure may change without notice.
  • You acknowledge that permitting data may contain errors, omissions, or delays.

7. Intellectual Property

  • All rights, title, and interest in the Services, including software, models, dashboards, algorithms, normalized datasets, derived analytics, and branding, are owned by Contrax.
  • No rights are granted except as expressly stated.
  • Feedback you provide may be used by Contrax without restriction or compensation.

8. Data Usage and Derived Insights

  • You retain ownership of any data you input into the Services.
  • Contrax may process, analyze, aggregate, and transform input data solely to provide and improve the Services.
  • Contrax retains exclusive ownership of all derived data, analytics, benchmarks, models, scoring, trend analyses, and insights generated through the Services, including those created using aggregated customer usage patterns or public data.
  • Derived insights are non-identifiable and do not disclose customer-specific confidential information.

9. Privacy

  • Contrax collects and processes personal information in accordance with its Privacy Policy.
  • Information collected may include account information, usage data, technical metadata, and payment- related details.
  • We do not sell personal data.
  • You agree that Contrax may use anonymized and aggregated data for analytics, benchmarking, product improvement, and business intelligence purposes.
  • By using the Services, you consent to such collection and use as described during onboarding and in the Privacy Policy.

10. Beta and Early Access Features

  • Certain features, datasets, or functionality may be offered as beta, pilot, or early access offerings ("Beta Features").
  • Beta Features are provided for evaluation purposes only and may be modified, suspended, or discontinued at any time.
  • Beta Features may contain bugs, errors, or incomplete functionality.
  • Contrax makes no guarantees regarding the performance, availability, or accuracy of Beta Features.
  • To the maximum extent permitted by law, Beta Features are provided "AS IS" and may be excluded from service level commitments.

11. Confidentiality

Each party agrees to protect the other's confidential information and use it solely for purposes of these Terms. Confidential information does not include information that is publicly available or independently developed.

12. Third-Party Services

The Services may integrate with or reference third-party tools or data sources. Contrax is not responsible for third- party content, availability, or practices.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRAX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
  • CONTRAX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • CONTRAX'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO CONTRAX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Contrax from any claims, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.

16. Termination

  • You may terminate your subscription according to your billing terms.
  • Contrax may suspend or terminate access for violation of these Terms or applicable law.
  • Upon termination, your license ends and access to the Services will cease.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be brought exclusively in the state or federal courts located in Florida.

18. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
